Terms of Service

1. Acceptance of Terms

By accessing or using the CoreLaunch platform ("Service") at corelaunch.ca, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Maple Elegance Media Inc., operating as CoreLaunch ("Company," "we," or "us").

2. Description of Service

CoreLaunch provides a software-as-a-service (SaaS) platform that enables small trade businesses to generate AI-powered marketing websites and configure digital advertising campaigns on Google and Meta platforms. The Service includes website generation, domain management facilitation, ad campaign configuration, and a lead-tracking dashboard.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Subscription and Billing

Access to the Service requires a paid subscription. The current pricing is:

• Platform fee: $99 per month, billed monthly (or split into weekly charges at signup, same total).
• Management fee: 12.5% of your total monthly advertising spend across all connected platforms, capped at $2,500 per month regardless of spend. Billed monthly in arrears, calculated from spend data we read from your Google Ads & Meta Business accounts via our manager-account linkages.
• Free trial: new subscribers receive a 7-day trial during which the platform fee is waived. The 12.5% management fee continues to apply on any spend that occurs during the trial. After the trial, the platform fee billing begins automatically unless you cancel before the trial ends.
• Minimum ad spend: $1,000 per month. Below this, ad platforms can't gather enough data to optimize; signups under this floor are refused at the wizard.
• Advertising spend: paid by you directly to Google and Meta through your own ad accounts (linked to our manager accounts via Google's MCC and Meta's Business Manager). CoreLaunch does not collect, hold, or pass through the ad spend itself. We only invoice the platform fee and the 12.5% management fee above.

Billing is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the cadence selected at signup. Subscription fees are non-refundable except as required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

You are responsible for maintaining a valid payment method on your Google Ads and Meta Business accounts and for all charges incurred through those platforms. CoreLaunch is not a party to your billing relationship with Google or Meta.

5. User Responsibilities

You agree to:

• Provide accurate business information during onboarding and keep it updated.
• Comply with all applicable Google, Meta, and other advertising platform policies.
• Ensure that your ads and website content are truthful and not misleading.
• Not use the Service for any illegal, fraudulent, or harmful purpose.
• Maintain the security of your account credentials and notify us promptly of any unauthorized access.
• Comply with all applicable laws in your jurisdiction, including consumer protection and advertising standards.

6. Intellectual Property

The CoreLaunch platform, including its software, design, and trademarks, is the intellectual property of the Company. You retain ownership of all content you provide (business name, logo, copy) and of the website generated on your behalf. Upon subscription cancellation, you retain the right to export and use any websites or content generated through the Service.

7. Third-Party Services

The Service integrates with third-party platforms including Google Ads, Meta Ads, Stripe, and domain registrars. Your use of these integrations is subject to their respective terms of service. We are not responsible for the actions, availability, or policies of third-party services. Any ad spend charges, domain registration fees, or other costs incurred through third parties are your responsibility.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM YOUR ADVERTISING CAMPAIGNS, INCLUDING LEAD VOLUME, CONVERSION RATES, OR RETURN ON AD SPEND. ADVERTISING RESULTS DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORELAUNCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless CoreLaunch and its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support. We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or abuse the Service. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
